Terms of Service

The terms and conditions governing the use of our services and website.

1. Introduction

These Terms of Service ("Terms") govern your engagement with North Willow Gate Consulting Ltd., a company registered in Uganda under the Companies Act 2012 with its principal office at Plot 16 Acacia Avenue, Kololo, Kampala, Uganda ("North Willow Gate", "we", "us", or "our").

By engaging our services, signing an engagement agreement, or using our website, you agree to be bound by these Terms. If you do not agree to these Terms, please do not engage our services or use our website.

Please read these Terms carefully. They contain important information about your rights and obligations when working with North Willow Gate Consulting Ltd.

2. Our Services

North Willow Gate Consulting Ltd. provides professional coaching, consulting, facilitation, and training services, including but not limited to:

  • Executive and leadership coaching (individual and group)
  • Communication skills training and workshops
  • Team development programmes and facilitation
  • Personal effectiveness coaching
  • Mentoring programme design and delivery
  • Workplace collaboration consulting
  • Organisational culture and development consulting
  • Leadership retreats and off-site facilitation

All services are delivered by qualified practitioners and are subject to the terms of an engagement agreement signed prior to commencement. The specific scope, duration, fees, and deliverables of each engagement are set out in that agreement.

3. Client Engagement

3.1 Engagement Agreement

All coaching and consulting engagements commence only after a written engagement agreement has been signed by both parties. This agreement sets out the specific services, timelines, fees, and expectations for the engagement.

3.2 Client Responsibilities

To maximise the value of our work together, clients agree to:

  • Engage honestly and openly in all sessions and interactions
  • Complete any agreed pre-work or assessments prior to sessions
  • Attend sessions punctually or provide adequate notice of unavailability
  • Take ownership of their own development and the commitments they make
  • Pay invoices within the agreed timeframe

3.3 Professional Boundaries

Coaching is a professional service. It is distinct from therapy or counselling. While our coaches may explore emotional and personal dimensions of professional challenges, coaching is not a substitute for psychological therapy, medical advice, or mental health treatment. If we believe a client requires professional therapeutic support, we will say so respectfully and may refer the client to an appropriate service.

4. Payment Terms

Unless otherwise agreed in writing:

  • Invoices are issued monthly in advance at the beginning of each calendar month.
  • Payment is due within 14 days of the invoice date.
  • Late payments may attract interest at 2% per month on the outstanding balance.
  • We reserve the right to suspend services for accounts overdue by more than 30 days.
  • All fees are quoted in Ugandan Shillings (UGX) unless otherwise stated.
  • Payment may be made by mobile money, bank transfer, or such other means as agreed.
  • VAT is applicable where required by Ugandan law.

5. Cancellation and Rescheduling

5.1 Individual Sessions

Sessions must be cancelled or rescheduled with at least 24 hours' notice. Sessions cancelled with less than 24 hours' notice, or missed without notice, will be charged in full. We understand that genuine emergencies arise and will always apply this policy with human judgment.

5.2 Workshops and Group Programmes

Cancellation of workshops, team programmes, or retreats requires a minimum of 10 business days' notice to avoid a cancellation fee equal to 50% of the engagement value. Cancellations with less than 5 business days' notice will be charged at 100% of the engagement value. Travel and accommodation costs already incurred will be billed regardless of notice period.

5.3 Programme Termination

Either party may terminate a longer-term engagement with 30 days' written notice. In the event of termination, fees for work completed to date are payable in full. If North Willow Gate terminates an engagement due to client non-compliance with these Terms, fees for the notice period remain due.

6. Confidentiality

Both parties agree to maintain strict confidentiality regarding all proprietary, sensitive, or personal information shared in the context of the engagement. This includes:

  • All information shared by the client in coaching and consulting sessions
  • Organisational strategies, personnel matters, and business information shared by the client
  • North Willow Gate's proprietary frameworks, tools, and methodologies
  • Programme designs, assessments, and materials developed for the engagement

Confidentiality obligations survive the termination of any engagement and remain in force indefinitely, except where disclosure is required by law.

7. Intellectual Property

All materials, frameworks, assessments, reports, tools, and content created by North Willow Gate Consulting Ltd. — including the WILLOW Framework™ and all associated materials — remain the intellectual property of North Willow Gate Consulting Ltd. Clients may use materials provided to them for their personal and organisational development only. Any reproduction, distribution, or commercial use of North Willow Gate's materials without written permission is strictly prohibited.

8. Website Use

Our website is provided for informational purposes. You agree not to use it to engage in any unlawful, harmful, or abusive activity, or to attempt to gain unauthorised access to any part of the website or our systems. All website content is the property of North Willow Gate Consulting Ltd. and may not be reproduced without our written permission.

9. Limitation of Liability

North Willow Gate Consulting Ltd. provides professional coaching and consulting services in good faith, drawing on the best available evidence and our practitioners' professional judgment. However:

  • We cannot guarantee specific outcomes from coaching or consulting engagements, as individual and organisational results depend on many factors beyond our control.
  • Our total liability to any client in respect of any engagement shall not exceed the fees paid by that client in the 6 months preceding the event giving rise to the claim.
  • We are not liable for indirect, consequential, or special damages arising from any engagement.
  • Nothing in these Terms limits our liability for fraud, death, or personal injury caused by our negligence.

10. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Uganda. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Uganda. Before resorting to litigation, both parties agree to make a genuine effort to resolve disputes through good-faith negotiation or, if necessary, mediation through an agreed independent mediator.
